End User License Agreement

1.1 Limited License

Subject to your compliance with this EULA, Spectra grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download, install, and use the Software on compatible mobile devices that you own or control
• Access and use the features and functionality of the Software
• Receive updates and upgrades (if and when provided)

This license is solely for your personal, non-commercial use.

1.2 License Restrictions

This license does NOT grant you the right to:

• Use the Software for commercial purposes (resale, rental, sublicensing)
• Use the Software on devices you do not own or control without authorization
• Use the Software on behalf of third parties as a service
• Share your access with others

2.1 Prohibited Actions

You agree NOT to:

• Use the Software to provide services to third parties
• Incorporate the Software into commercial products or services
• Use the Software for any revenue-generating activity (except your own personal trading)

3.1 Ownership

The Software is licensed, not sold. Spectra and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.

3.2 What We Own

All rights in the following belong to Spectra or our licensors:

• Source code, object code, and algorithms
• User interface, design, and graphics
• Trademarks, logos, and brand elements
• Documentation and materials
• Trade secrets and proprietary technology

3.3 No Transfer of Rights

This EULA does not transfer any ownership rights to you. You only receive a limited license to use the Software as described herein.

3.4 Reservation of Rights

All rights not expressly granted in this EULA are reserved by Spectra.

4.1 Right to Update

We may provide updates, patches, bug fixes, or upgrades to the Software ("Updates") from time to time.

4.2 Acceptance of Updates

Updates may:

• Be installed automatically without notice
• Modify, add, or remove features
• Be required for continued use of the Software

By using the Software, you consent to automatic updates. Some features may require the latest version.

4.3 No Obligation

We are NOT obligated to provide Updates, support, maintenance, or new features.

4.4 Terms Apply

This EULA applies to all Updates unless an Update is accompanied by a separate license agreement.

5.1 Third-Party Components

The Software may include third-party software components, libraries, or open-source code, each subject to its own license terms.

5.2 Third-Party Services

The Software connects to third-party services (e.g., Broker APIs). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

5.3 No Endorsement

Inclusion of third-party components or links does not imply endorsement by Spectra.

6.1 AppStore and Google Play

If you downloaded the Software from Apple AppStore or Google Play Store, you acknowledge and agree that:

The Software is designed for specific mobile platforms (iOS, Android). You are responsible for ensuring compatibility with your device.

6.3 Platform Fees

Your mobile carrier or platform may charge data fees or other fees. You are responsible for all such fees.

7.1 "AS IS" AND "AS AVAILABLE"

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND.

7.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECTRA DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Warranties of fitness for a particular purpose
• Warranties of title or non-infringement
• Warranties of accuracy, reliability, or completeness
• Warranties of uninterrupted, error-free, or secure operation
• Warranties arising from course of dealing or usage of trade

7.3 No Guarantee

We do NOT guarantee that:

• The Software will meet your requirements or expectations
• The Software will be uninterrupted, timely, secure, or error-free
• Results obtained from the Software will be accurate or reliable
• Defects will be corrected
• The Software is free from viruses or harmful components

7.4 Jurisdictional Limitations

Some jurisdictions do not allow disclaimer of implied warranties. If applicable law prohibits disclaimer, the warranties are limited in duration to the minimum period required by law.

8.1 EXCLUSION OF DAMAGES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SPECTRA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
• LOSS OF DATA OR INFORMATION
• COST OF SUBSTITUTE SOFTWARE OR SERVICES
• TRADING LOSSES OR FINANCIAL DAMAGES
• ANY DAMAGES WHATSOEVER ARISING FROM USE OR INABILITY TO USE THE SOFTWARE

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Maximum Liability Cap

IN THE UNLIKELY EVENT THAT WE ARE FOUND LIABLE DESPITE THE ABOVE EXCLUSIONS, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF:

• The amount you paid to us for the Software in the three (3) months prior to the claim, OR
• USD $100 (one hundred US dollars)

8.3 Essential Basis

You acknowledge that these limitations are an essential element of this Agreement and that we would not provide the Software without these limitations.

8.4 Jurisdictional Limitations

Some jurisdictions do not allow limitation of certain damages. If such laws apply, some limitations may not apply to you, but they shall be enforced to the maximum extent permitted.

9.1 Termination by You

You may terminate this EULA at any time by:

• Uninstalling and deleting the Software from all devices
• Ceasing all use of the Software
• Closing your account

9.2 Termination by Us

We may terminate this EULA and your license immediately, without notice, if:

• You violate any term of this EULA
• You violate our Terms of Service or other policies
• We discontinue the Software
• Required by law or regulatory authority
• At our sole discretion for any reason

9.3 Effect of Termination

Upon termination:

• Your license to use the Software immediately ends
• You must uninstall and delete all copies of the Software
• Provisions that by their nature should survive (disclaimers, limitations of liability, governing law) will continue to apply

9.4 No Refunds

Termination does not entitle you to any refunds of fees paid (see Refund Policy).

10.1 Export Laws

The Software may be subject to export control laws and regulations, including those of the United States and other countries.

You represent and warrant that:

• You are not located in, under the control of, or a national or resident of any restricted country
• You are not on any government restricted party list (e.g., U.S. Treasury's Specially Designated Nationals list)
• You will not use the Software in violation of any export laws or regulations

10.2 Sanctions

You may not use the Software if you are subject to sanctions imposed by any government, including but not limited to:

• United States (OFAC sanctions)
• United Nations
• European Union
• United Arab Emirates

10.3 Your Responsibility

You are solely responsible for compliance with all applicable export control and sanctions laws.

12.1 Privacy Policy

Your use of the Software is subject to our Privacy Policy, which is incorporated into this EULA by reference.

By using the Software, you consent to our collection, use, and disclosure of information as described in the Privacy Policy.

12.2 Data Collection

The Software may collect and transmit:

• Usage data, analytics, and diagnostics
• Device information
• Crash reports and error logs
• Account and trading data

We use this data to operate, improve, and secure the Software.

12.3 Location Data

The Software may collect location data with your permission. You can disable location services through device settings.

13.1 Governing Law

This EULA is governed by the laws of the United Arab Emirates, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from this EULA shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13.3 Arbitration

As provided in our Terms of Service, disputes may be subject to binding arbitration. Please refer to the Terms of Service for details.

13.4 Class Action Waiver

You agree to resolve disputes on an individual basis only, and waive any right to participate in a class action or representative action.

14.1 Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, and other referenced policies, constitutes the entire agreement between you and Spectra regarding the Software.

14.2 Severability

If any provision of this EULA is found invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

14.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer this EULA or any rights under it without our prior written consent. We may assign this EULA freely.

14.5 No Third-Party Beneficiaries

This EULA does not create any third-party beneficiary rights.

14.6 Notices

Notices to you may be provided via email, in-app notification, or posting on the Software. You must provide notices to us at the contact information below.

14.7 Force Majeure

We are not liable for failure or delay in performance due to causes beyond our reasonable control.

14.8 Language

This EULA is drafted in English. In case of translations, the English version prevails.

15.1 Modifications

We reserve the right to modify this EULA at any time. Changes are effective upon posting or with the next update of the Software.

15.2 Notification

We will notify you of material changes via email or in-app notification.

15.3 Acceptance

Your continued use of the Software after changes constitutes acceptance of the modified EULA. If you do not agree, stop using the Software.
